CLUB BYLAWS

 

I. The name of the organization will be Mountain High Hikers.

II. The purposes of the organization will be:

    A. To provide scheduled hikes and other recreational activities for members and their guests.

    B. To provide scheduled opportunities to perform trail maintenance and/or trail construction as prescribed by the U. S. Forest Service or other authority     having jurisdiction over trails.

    C. To promote interest and education in the conservation of natural resources, and cooperation with the U. S. Forest Service and conservation organizations that are dedicated to this purpose.

III. The organization’s purposes will be accomplished by the following:

    A. Elected Officers:

        President

        Vice President

        Secretary

        Treasurer

    B. Standing Committees:

        Hike Planning

        Trail Maintainer

        Conservation

        Membership

        Social

        Communication

        Publicity 

        Officers as listed above will be elected annually by the general membership. Chairpersons of committees will be appointed by the President for a one-year term or as required to fulfill an existing term. Each chairperson may select as many members as needed to carry out the purposes of that committee. New committees may be established by the Board as needed, but shall always consist of the above-named standing committees. All activities of these committees are subject to approval by the Board.  In appreciation for service, all elected officers and standing committee chairs, as well at the long and short hike planners will get a free individual membership in the club for the duration of their service.

    C. The Board of Directors will meet at least quarterly and will consist of elected officers, standing committee chairpersons, and the immediate past president .  A quorum for the Board shall consist of a simple majority. A majority vote of Board members will be necessary to conduct any business not specifically determined by these Bylaws guidelines.

    D. The overall governing body shall be the general membership

        General membership meetings will be held four times a year.  Additional meeting may be called if necessary by the President.

        Hikes will be every Tuesday per the schedule established by the Hike Planning committee. The schedule will be published quarterly via the website.

IV. The duties and responsibilities of the officers shall be:

    A. The President will conduct Board and general membership meetings; act as spokesperson for the club in matters dealing with the public or other organizations; solicit speakers or programs for the general meetings; acting upon recommendations from the Board, committees or membership; and support activities of the committees.

    B. The Vice President will act for the President in all matters in his/her absence, and will perform special assignments as requested by the President or Board.

    C. The Secretary will take minutes of Board and business meetings, handle club correspondence, and be the depository for all historical records of the club.

    D. The Treasurer will maintain the bank account and all financial records; will make disbursements from the account as approved by the Board; and will prepare and present an annual plan and budget, as well as regular financial reports to the Board and the membership.

V. The duties and responsibilities of the standing committees shall be:

    A. The Hike Planning Committee will plan a schedule of weekly hikes for each quarter and present a calendar of hikes to be published on the website. The committee will maintain and update a set of hiking guidelines to be published on the website.  It will furnish guidelines for hike leaders, as well as waiver forms and maintain files of hike reports.

    B. The Trail Maintainer Committee will schedule and lead work trips and training programs for the purpose of repairing, maintaining or building trails under the advice or supervision of the U.S. Forest Service or other authority, and will make suggestions to the Board pertaining to club policies in these matters.

    C.  The Conservation Committee will respond to or initiate conservation and/or conservation related matters with various environmental organizations or government agencies (such as U. S. Forest Service), and will work toward establishing and maintaining club policies as they pertain to conservation of the forests, especially designated wilderness areas.

    D. The Membership Committee will provide membership applications to prospective members and will maintain a file of the completed applications. The committee will collect annual dues from each member and provide an updated roster of members to the membership.

    E. The Social Committee will make the physical arrangements for the quarterly meetings of the general membership and any special  activities that may be planned by the Board or general membership.

    F. The Communication Committee will maintain a club website that includes the upcoming hike calendar, articles setting forth any changes or events of interest to the membership, and any other information pertaining to club members and club activities.

    G. The Publicity  Committee will initiate articles and materials to promote the club and e-mail newsletters (News Flash).

VI. A Nominating Committee chairperson will be appointed by the Board to select nominees for offices to be filled at the last quarterly membership meeting of the year. The committee chairperson will present the list of nominees to the membership and request nominations from the floor. The election will take place at that meeting, and the newly-elected officers’ terms will begin on January 1st.

VII. The Club’s fiscal year will be January 1st through December 31st. Each club member will pay annual dues, at a rate to be set by the Board, at the third quarterly Board Meeting.  New Members joining after October 1st will not need to pay for the next fiscal year.

VIII. Committees may spend up to the limits of their budgets at the discretion of the chairperson. Non-budgeted amounts up to $50 may be approved by the President or Treasurer, and any amount beyond that must be approved by the Board.

IX. Members are actively encouraged to volunteer for Trail Maintenance, to serve on a club committee, or to lead hikes to help support the mission of the club.

X. Any changes or additions to these Bylaws guidelines will first require approval by the Board, followed by approval of the general membership.
